Terms of Service

These Terms of Service describe how Sōlfire Creative works with clients. They explain project expectations, payment policies and ownership of work created during consulting and website engagements. By engaging Sōlfire Creative for services or submitting payment for an invoice, you acknowledge and agree to the terms below.

WORKING TOGETHER

Services

Sōlfire Creative provides strategic marketing consulting, advisory and related professional services. Sōlfire Creative may also provide website design, website development and related digital services.

The scope, schedule and deliverables for services may be defined through written communication, proposals or invoices issued by Sōlfire Creative.

Services are delivered based on information provided by the client and the professional judgment and expertise of Sōlfire Creative.

Services may include both advisory and implementation work as defined in the applicable contract or invoice.

Scope of Services

Services provided by Sōlfire Creative are limited to the scope described in the applicable proposal, written communication or invoice. Requests for additional services, revisions or work outside the agreed scope may require a separate agreement or additional fees.

Sōlfire Creative reserves the right to adjust project timelines and pricing if the scope of work changes.

Client Responsibilities

Clients agree to provide timely information, feedback and materials necessary for Sōlfire Creative to perform services effectively.

Sōlfire Creative is not responsible for delays resulting from incomplete information, lack of communication or failure to provide requested materials.

No Guarantees

Consulting services are advisory in nature. While Sōlfire Creative provides professional recommendations and strategic guidance, business outcomes depend on numerous factors outside the control of Sōlfire Creative.

Therefore no specific results or outcomes are guaranteed.

PROJECTS & DELIVERABLES

Project Cancellation

A project is considered active once the client approves the proposal or invoice and Sōlfire Creative begins work on the project.

If a project is canceled after work has begun, Sōlfire Creative reserves the right to invoice for all work completed up to the date of cancellation.

In addition, the client will be responsible for a kill fee equal to 20 percent of the remaining project balance to compensate for time reserved, work scheduled and business opportunities declined to accommodate the project.

Any third-party expenses incurred on behalf of the client including themes, plugins, stock images or software licenses will also be invoiced to the client.

All work completed and all applicable fees must be paid before any project files or deliverables are transferred to the client.

Release of Work

Final deliverables including website files, website access credentials and administrative control of the website will be transferred to the client only after all outstanding invoices related to the project have been paid in full.

Sōlfire Creative reserves the right to withhold launch of a website, transfer of files or transfer of administrative access until final payment has been received.

Intellectual Property

All original strategies, consulting frameworks, methodologies, reports and recommendations developed by Sōlfire Creative in the course of providing consulting services remain the intellectual property of Sōlfire Creative unless otherwise agreed in writing.

When Sōlfire Creative develops specific deliverables for a client including websites, website content or other custom digital assets created for the client’s business, ownership of those deliverables transfers to the client upon full payment of the applicable invoice unless otherwise specified in writing.

Third-party materials incorporated into a project including software, themes, plugins, fonts, images or stock media remain subject to the licenses and terms of their respective owners. The client is responsible for complying with those third-party license requirements.

Sōlfire Creative retains the right to reference completed work and general project outcomes for portfolio, marketing or promotional purposes unless otherwise agreed in writing.

PAYMENT POLICIES

Payment Terms

Invoices are due according to the payment terms specified on the invoice. Payment confirms the client’s agreement to these Terms of Service.

Payments may be made by bank transfer (ACH) or credit or debit card through the secure payment system provided with the invoice.

Clients are responsible for any applicable transaction or processing fees associated with card payments.

Late payments may result in delays to scheduled services.

Late Payments

If payment is not received by the due date, Sōlfire Creative reserves the right to pause ongoing services until payment is received. Continued late payments may result in termination of services.

Invoices that remain unpaid more than thirty (30) days after the due date may be subject to a late fee of 5 percent of the outstanding balance.

Payment Authorization

Payment of an invoice issued by Sōlfire Creative constitutes authorization for the charge and confirms the client’s agreement to the services described in the invoice and to these Terms of Service.

By submitting payment, the client acknowledges that the services described in the invoice have been requested and approved.

Non-Refundable Services

Consulting services provided by Sōlfire Creative are non-refundable once delivered.

Website design and development services are non-refundable once work on the project has begun or project time has been scheduled.

Because consulting, advisory and website services involve the reservation of professional time, expertise, strategy, design and development work, payment is required for services performed or scheduled regardless of the client’s implementation of recommendations or use of the completed website.

Recurring Services

Some clients may engage Sōlfire Creative on a recurring advisory basis. Recurring services may be billed automatically according to the schedule agreed upon by the client.

Clients may cancel recurring services with a minimum of 30 days notice prior to the next billing period.

GENERAL TERMS

Limitation of Liability

To the maximum extent permitted by law, Sōlfire Creative shall not be liable for any indirect, incidental or consequential damages arising from consulting, advisory or website services provided.

Changes to These Terms

These Terms of Service may be updated periodically. The version posted on this website at the time of payment governs the services provided.
